Welcome to Kunming Banqu International Commerce And Trade Co., Ltd. These Terms of Service (“Terms”) govern your access to and use of our website at https://www.banqu.shop (the “Site”) and our services. By accessing our Site or using our services, you agree to be bound by these Terms.
“Company” refers to Kunming Banqu International Commerce And Trade Co., Ltd.
“Services” refers to all professional technology services provided by the Company.
“Client” or “You” refers to the individual or entity accessing the Site or using our Services.
By accessing our Site or engaging our Services, you confirm you have read and agree to these Terms. We may modify these Terms at any time; continued use after changes constitutes acceptance.
We provide professional services in computer systems design, integrated systems design, IT consulting, web and cloud solutions, cybersecurity, and data analytics. Specific scope and fees will be outlined in a separate Statement of Work (SOW).
The Company retains rights to its pre-existing IP. Deliverables developed for a Client under a paid engagement become Client property upon full payment. Site content is protected by applicable laws.
Fees are as set forth in the SOW or invoice, due within 30 days. Late payments may incur 1.5% monthly interest.
Both parties agree to maintain confidentiality of proprietary information for five years after termination.
The Company shall not be liable for indirect or consequential damages. Total liability shall not exceed fees paid in the preceding 12 months.
Services and Site are provided “as is” without warranties of any kind.
Client agrees to indemnify the Company from claims arising from Client's use of Services or violation of these Terms.
Either party may terminate per SOW provisions. Company may terminate if Client breaches and fails to cure within 15 days.
These Terms are governed by PRC law. Disputes shall be resolved through negotiation, then binding arbitration in Kunming under CIETAC rules.
Neither party is liable for delays caused by events beyond reasonable control.
These Terms together with any SOW constitute the entire agreement.
